Définitions

User” or “you” means any user of the Website;

GTC” means these general terms and conditions;

Protected Elements” means the elements of the Website protected by intellectual property rights, as defined in article “Intellectual Property”;

Website” means the website published by Gide, available at https://www.gide-venture.fr/;

Gide” means Gide Loyrette Nouel A.A.R.P.I;

Scope of application

The purpose of the GTC is to define the conditions under which you may consult the Website. By browsing the Website, you acknowledge that you have read and accepted these GTC.

Gide may modify these GTC in order to adapt them to the technological environment or to comply with current regulations. The User must therefore regularly check the Website to stay informed of any changes or updates to the GTC.

Intellectual property

The architecture of the Website, the trademarks, domain names, databases, software, content and any other element of the Website, without this list being exhaustive (hereafter the “Protected Elements“), are the exclusive property of Gide or the property of third parties who have granted a license to Gide. These GTC do not imply any transfer of intellectual property rights attached to the Website or the Protected Elements to your benefit.

You may not act in any way that directly or indirectly infringes Gide’s intellectual property rights or, where applicable, third party property rights regarding the Protected Elements. Thus, the use, reproduction, transmission, commercialization or creation of derivative works on the basis of the Protected Elements without Gide’s prior written consent are strictly prohibited and may be punished as counterfeiting.

Notwithstanding the above, Gide grants you a license to use the various templates made available to you in the Starter Kit. The license granted to you is strictly personal, and does not give you the right to reuse or adapt the templates made available to you, for commercial purposes or on behalf of third parties.

Gide also grants you the right to reproduce, for strictly personal purposes and excluding any commercial use or any use on behalf of third parties, the Best Practices communicated to you on the Website.

Finally, you undertake not to access or attempt to access the Website by any means other than the interface of the Website provided by Gide, nor to undertake any activity that would interfere with or disrupt the operation of the Website.

Disclaimer

The contents made available on the Website are provided as is, and their use is at your own risk. In no event shall Gide be liable for any damage resulting from your use of these contents.

Furthermore, the provision of such content by Gide shall not be considered as providing legal advice or creating a client-lawyer relationship between Gide and yourself. The use of these contents does not exempt you from obtaining legal advice from a lawyer.

Operability and availability of the website

Gide will strive, to the extent possible, to keep the Website accessible 7 days a week and 24 hours a day. Nevertheless, access to the Website may be temporarily suspended, due to technical maintenance operations, migrations or updates, or to constraints related to the operation of the Internet.

It is important to point out that the transmission of data over the Internet is only relatively reliable. The networks on which the data circulate have various characteristics and capacities and are likely to be saturated at certain times of the day, which may affect their download times and accessibility.

Prohibited conduct

The Website is an automated data processing system. Any fraudulent access or maintenance within the latter is a prohibited criminal offence. The same applies to any obstruction or alteration of the operation of this system, or in the event of the input, deletion or modification of the data contained therein. Thus, you undertake not to disturb the proper functioning of this automated data processing system, and in particular not to introduce any viruses, nor to damage, illegally access or modify the data stored on the Website.

You may not extract and/or reuse parts of the Website’s content in a systematic manner without Gide’s prior written permission. Especially, you must not use a data extraction robot or any other similar data scraping tool in order to extract or reuse a substantial part of the elements contained on the Website.

Liability

The Website is limited to the private use of each User.

Gide shall not be held liable for any indirect damage, resulting from your use of the Website (in particular the loss of data, opportunities or reputation) or from your inability to access it, your use of the elements contained on the Website, any failure, error or interruption of the Website.

Gide will make its best efforts to secure your access to the Website, but cannot guarantee absolute security. Gide cannot be held responsible for malfunctions or damage inherent to the use of the Internet network, such as service breakdowns, external intrusion or computer viruses, or breaches of computer security that may cause damage to your computer equipment and data.

Furthermore, Gide shall not be held liable for any consequences resulting from your breach of these GTC. In this respect, you agree to indemnify Gide in the event of any legal action taken by third parties, or any judicial sentence resulting from your acts.

Privacy policy

This Privacy Policy is intended to indicate how your personal data (hereinafter referred to as “Personal Data“) is collected, processed and stored by Gide.

Gide is very concerned about respecting your privacy and the confidentiality of your Personal Data, and therefore undertakes to process your Personal Data in compliance with the applicable laws and regulations, and in particular Act No. 78-17 of 6 January 1978 on information technology, data files and civil liberties (hereinafter the “Data Protection Act“), and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (hereinafter the “Regulation“).

Collected data

Gide may collect Personal Data in the following situations:

  • Your email address, when you subscribe to the newsletter;
  • Your contact details, if you wish to ask a question or contact Gide through the dedicated “Contact Us” webpage;
  • Your contact details, your resume or any other relevant document, if you wish to apply for a job at Gide, through the dedicated “Join Us” page.

Purposes

Gide processes your Personal Data for the following purposes:

  • If you have given your consent, for the communication of updates about the firm. You have the right to withdraw your consent at any time;
  • The processing of your questions and requests;
  • The processing of your applications.

The legal basis for these processing operations is their necessity for the execution of pre-contractual measures taken at your request.

Your Personal Data can be transferred to Gide’s international offices.

Exercising your rights

In accordance with applicable law, you can exercise your rights of access and rectification, which allow you to rectify, supplement, update or delete Personal Data that are inaccurate, incomplete, ambiguous, outdated or of which the collection, use, communication or storage is prohibited, as well as the right to request the limitation of the processing, and the right to object to the processing of your Personal Data on legitimate grounds. You can also give instructions on how to process your Personal Data post-mortem.

You may also, at any time and without any legitimate ground, object to the processing of your Personal Data for commercial marketing purposes.

These rights can be exercised by contacting  Gide and sending your request accompanied by a proof of your identity by email to the following address: gide-venture@gide.com.

You can file a complaint with the CNIL at any time.

Guarantees

In accordance with its legal obligations, Gide undertakes to take all reasonable technical and organisational measures, and imposes on its subcontractors all the obligations necessary to ensure the security and confidentiality of your Personal Data.

Gide also guarantees that it will only use your Personal Data for the purposes for which you have been informed in this Privacy Policy and will not disclose, transfer or sell your Personal Data to third parties.

Data retention

In the context of  your requests for newsletters and various updates, and unless you object, Gide will retain your Personal Data for a period of three (3) years from the date of your last contact. Gide reserves the right to store your Personal Data in an intermediate archive for the duration of the statutory limitation periods.
